3.Templates Are Generalized and Require Customization
Generic Starting Points. The HR document templates we offer (the "Templates") are generalized starting points designed to reflect commonly applicable legal and regulatory requirements at the time of delivery, based on the jurisdictional and employee-scale information you provide at purchase. The Templates are not tailored to the specific facts, circumstances, industry, workforce composition, collective bargaining obligations, or risk profile of your business.
Customization Required. You are solely and exclusively responsible for: (a) reviewing each Template in full before any use; (b) customizing each Template to fit your specific business, industry, workforce, and operational circumstances; (c) confirming that the Template is accurate, complete, and lawful as customized; (d) ensuring the Template complies with all applicable federal, state, county, and local laws, regulations, ordinances, executive orders, and binding agency guidance in effect at the time of use; and (e) having the customized Template reviewed by a licensed attorney before signing, distributing, or relying on it.
No Warranty of Fitness. We make no representation or warranty that any Template is appropriate for, complete for, or compliant with the requirements of your specific business or any specific factual scenario.
4.Laws Change — You Are Responsible for Current Compliance
Constantly Evolving Legal Landscape. California employment law and federal employment law change frequently and without notice. Statutes, regulations, agency guidance, executive orders, court decisions, and local ordinances (including, without limitation, those concerning the Private Attorneys General Act ("PAGA"), wage and hour rules, paid sick leave, family and medical leave, minimum wage, predictive scheduling, anti-discrimination protections, workplace safety, arbitration agreements, and independent contractor classification) may change at any time and may render a previously compliant document non-compliant.
No Guarantee of Currency or Accuracy. Although we strive to update our Materials to reflect significant legislative and regulatory changes for paying subscribers, we do not warrant that any Material is current, accurate, complete, or free from error at the time of your use. Update timing, scope, and coverage are subject to change. The newsletter and update services are provided on a best-efforts basis and do not constitute a binding service-level commitment unless expressly stated otherwise in a written agreement signed by us.
Your Independent Verification Obligation. To the fullest extent permitted by applicable law, MHR Products disclaims all warranties and conditions, including without limitation: warranties of merchantability; fitness for a particular purpose; non-infringement; quiet enjoyment; accuracy of informational content; legal or regulatory compliance; currency or timeliness of content; uninterrupted or error-free operation; and any warranties arising from course of dealing, course of performance, or usage of trade.
We do not warrant that the Materials will meet your requirements, achieve any particular result, prevent any particular legal claim or regulatory action, or protect you from any specific liability or risk.
6.Limitation of Liability; You Assume All Risk
Your Use Is at Your Own Risk. Any reliance you place on the Materials is strictly at your own risk. You acknowledge and agree that you are solely and exclusively responsible for any decision you make, any action you take, any document you sign, distribute, or rely upon, and any communication you make to employees, contractors, applicants, agencies, or third parties based in whole or in part on the Materials.
MHR Products Is Not Liable for Legal Actions Against You.
To the fullest extent permitted by applicable law, MHR Products, including its officers, members, managers, employees, contractors, agents, licensors, successors, and assigns (collectively, the "MHR Parties"), shall not be liable for any legal action, claim, demand, complaint, investigation, audit, enforcement action, administrative proceeding, arbitration, lawsuit, or litigation of any kind brought, threatened, or asserted against you or your business by any employee, former employee, applicant, contractor, agency, regulator, competitor, or other third party, whether or not such action arises out of, relates to, or is based in whole or in part on your use, customization, implementation, or distribution of any Material.
Categories of Excluded Damages.
Without limiting the foregoing, in no event will the MHR Parties be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages; any damages for lost profits, lost revenue, lost business, lost goodwill, business interruption, regulatory fines or penalties, back pay, front pay, liquidated damages, statutory damages, attorneys' fees, costs of defense, judgments, settlements, or any other monetary or non-monetary harm — arising out of or relating to the Materials, this Disclaimer, or your use of the Site or Services, whether based in contract, tort (including negligence), strict liability, statute, or any other legal or equitable theory, and even if MHR Products has been advised of the possibility of such damages.
Liability Cap.
To the fullest extent permitted by law, the MHR Parties' total cumulative liability arising out of or relating to the Materials, this Disclaimer, or your use of the Site or Services shall not exceed the greater of (a) the total amount of subscription fees you paid to MHR Products in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you to the extent prohibited by applicable law. In such jurisdictions, the MHR Parties' liability is limited to the smallest amount permitted by law.
7.Indemnification by You
Your Defense Obligations. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the MHR Parties from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including, without limitation, reasonable attorneys' fees and costs of defense) arising out of or relating to: (a) your use, customization, implementation, or distribution of any Material; (b) any employment, contractor, regulatory, or third-party claim brought against you that arises in whole or in part from any Material; (c) your violation of any applicable law, regulation, or third-party right; (d) your breach of this Disclaimer, the Terms of Service, or any other agreement with MHR Products; and (e) any inaccurate or incomplete information you provided to us at signup or thereafter.
MHR Products reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You agree not to settle any claim subject to indemnification without our prior written consent.
8.Third-Party References, Examples, and External Resources
The Materials may include references, examples, illustrations, citations to statutes or regulations, summaries of agency guidance, hypothetical scenarios, or links to third-party websites or resources. Such references and links are provided for convenience and informational purposes only. We do not endorse, control, or assume responsibility for the accuracy, completeness, or current validity of any third-party content, guidance, or resource. Statutory and regulatory citations may become outdated, and you must independently verify any cited authority directly with the issuing source before relying on it.
9.Jurisdictional Scope and Applicability
The Materials are designed primarily for use by businesses operating in the State of California, United States. The Materials may not be appropriate, accurate, or compliant for use in any other jurisdiction. We make no representation or warranty regarding the suitability, lawfulness, or compliance of the Materials with the laws of any jurisdiction outside California. The Services are not directed to, and the Materials should not be used by, individuals or businesses outside the United States.

12.Acknowledgment of Risk Allocation
You acknowledge and agree that: (a) the disclaimers, warranty exclusions, and limitations of liability set forth in this Disclaimer are a material inducement to MHR Products' willingness to make the Materials available to you at the prices charged; (b) MHR Products would not make the Materials available to you without these allocations of risk; (c) the prices charged for the Materials reflect this allocation of risk; and (d) the disclaimers, exclusions, and limitations are reasonable and form an essential basis of the bargain between you and MHR Products.
13.Severability and Survival
If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. The provisions of this Disclaimer shall survive termination, cancellation, or expiration of your subscription or any other agreement with MHR Products and shall continue to apply to your use of any Material obtained during the term of your subscription.
14.Relationship to Other Agreements
This Disclaimer supplements and is incorporated by reference into the Terms of Service and the Privacy Policy. In the event of any conflict or inconsistency between this Disclaimer and the Terms of Service regarding disclaimers, warranty exclusions, or limitations of liability, the provision most protective of MHR Products shall apply, to the fullest extent permitted by applicable law. Capitalized terms used but not defined in this Disclaimer have the meanings given to them in the Terms of Service.
15.Governing Law and Dispute Resolution
This Disclaimer is governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to this Disclaimer shall be resolved in accordance with the dispute resolution provisions (including the binding arbitration agreement and class action waiver) set forth in the Terms of Service, which are incorporated herein by reference.
16.Acknowledgment and Acceptance
By accessing the Site, purchasing a subscription, downloading any template, or otherwise using any Material, you expressly acknowledge and agree that: (a) you have read this Disclaimer in its entirety; (b) you understand its terms; (c) the Materials do not constitute legal, HR, tax, or other professional advice; (d) no attorney-client relationship is formed through your use of the Materials or your interaction with MHR Products; (e) you are solely responsible for the legal compliance, accuracy, and appropriateness of any Material as you use it; (f) you will consult a licensed attorney before relying on any Material; and (g) MHR Products is not liable for any legal action, claim, or liability asserted against you or your business arising out of or relating to the Materials.
